Corporate Advisory

Incorporation, corporate governance and company secretarial work, with clear rules among shareholders and up-to-date records.

We design and maintain the company's legal structure: from the choice of entity and bylaws to shareholder agreements and the functioning of governing bodies. The goal is to prevent shareholder disputes and give legal certainty to every corporate decision.

Strategic focus

Company formation in Colombia and the United States

One of the firm's three strategic areas. We support the creation of the company from start to finish: choice of vehicle (S.A.S., S.A., Ltda. or branch of a foreign company; LLC or Corporation in the U.S.), tailored bylaws, commercial registration, tax ID and accounting and tax set-up, so the company is born in order and ready to operate.

What it includes

  • Company formation: choice of entity or branch of a foreign company, with tailored bylaws; registration with the Chamber of Commerce, DIAN and competent authorities.
  • Bylaw and capital amendments: capital increases and reductions, issuance, repurchase and transfer of shares.
  • Shareholder agreements: voting rules, pre-emptive rights, tag-along and drag-along, exit mechanisms and dispute resolution.
  • Corporate governance: rules for shareholder meetings and boards, governance codes and decision-making protocols.
  • Company secretarial services: notices, minutes, share registers and filings with the Chamber of Commerce and the Superintendence of Companies.
  • Control and business groups: analysis, registration and related obligations; beneficial ownership registry (RUB).
  • Dissolution and liquidation: orderly voluntary wind-up of companies.
